These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TRISX Technologies Private Limited, operating the platform "Subcidys" ("Company," "we," "us," or "our"), governing your access to and use of the Subcidys website, mobile application, APIs, and related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Acceptable Use Policy, and other policies referenced herein (collectively, the "Policies"). If you do not agree, you must not access or use the Services.

Subcidys is a cloud-based software-as-a-service ("SaaS") platform that provides MSMEs and businesses with tools for invoicing, quotations, purchase orders, sales orders, accounting, automated bookkeeping, GST filing, e-invoicing, e-way bills, expense management, inventory management, customer and vendor management, document management, receivables and payables tracking, payment collection, and cash flow management.

Subcidys may integrate with third-party payment gateways, banks, NBFCs, financial institutions, GSTN, WhatsApp Business APIs, email providers, AI service providers, and other third-party services to enable certain features.

To use the Services, you must:

• Be at least 18 years of age and capable of entering into a legally binding contract under the Indian Contract Act, 1872;
• Be registered as, or authorized to act on behalf of, a business entity (proprietorship, partnership, LLP, company, or other recognized form) where the Services are used for business purposes;
• Possess valid identification, business registration, GST registration (where applicable), and PAN details as required for onboarding;
• Not be barred from using the Services under applicable Indian law, including any sanctions, anti-money laundering, or fraud-related restrictions.

• You must provide accurate, current, and complete information during registration and keep such information updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately of any unauthorized access to or use of your account.
• We reserve the right to suspend or terminate accounts that provide false, misleading, or incomplete information, in accordance with our Account Suspension & Termination Policy.

Access to certain features of the Services may require payment of subscription fees, as set out in our SaaS Subscription Agreement and Payment Terms. By subscribing to a paid plan, you agree to pay all applicable fees, taxes, and charges. We reserve the right to change subscription fees with prior notice, as further described in the SaaS Subscription Agreement.

Payment collection features (including UPI, credit/debit cards, net banking, bank transfers, AutoPay mandates, and payment links) are facilitated through integrated third-party payment gateways and banking partners. Subcidys does not process, store (except as permitted under applicable card-on-file and tokenization regulations through authorized partners), or have access to your customers' full payment credentials. Use of such payment features is additionally governed by our Payment Gateway Disclaimer and the terms of the relevant payment partner.

Subcidys facilitates GST filing, e-invoicing, and e-way bill generation through integration with GSTN and/or authorized GST Suvidha Providers (GSPs). While we strive to ensure these features operate accurately and in compliance with applicable GST laws, you remain solely responsible for the accuracy of the data entered, for timely filings, and for compliance with all applicable tax laws. The Services may include AI-powered features such as AI Financial Assistant, AI Bookkeeping, AI Cash Flow Forecasting, AI-powered Collections, and AI Copilot. These features are provided for informational and productivity purposes only and do not constitute financial, legal, accounting, or tax advice. You should independently verify any AI-generated output before relying on it for business or financial decisions. Certain features described in our roadmap, including Embedded Credit, Invoice Financing, Working Capital Loans, Business Loans, Co-branded Business Credit Cards, and Pre-approved Credit Lines, will be offered, if and when launched, in partnership with and facilitated by RBI-regulated banks and/or Non-Banking Financial Companies (NBFCs). In relation to any such features:

• Subcidys acts solely as a technology and distribution partner and is not a lender;
• All credit assessment, sanctioning, disbursement, and recovery decisions shall be made solely by the relevant regulated lending partner;
• Use of such features shall be subject to additional terms, including our Lending Disclaimer, Credit Facilitation Terms, Embedded Finance Disclaimer, and Co-branded Card Disclaimer, and the lending partner's own terms and conditions.

You agree to:

• Use the Services only for lawful purposes and in accordance with these Terms and the Acceptable Use Policy;
• Ensure the accuracy of all business, financial, tax, and customer data entered into the platform;
• Obtain all necessary consents from your customers and employees before uploading their personal data onto the platform, including for communications sent via WhatsApp or email;
• Maintain compliance with all applicable laws relating to your business, including tax, labor, and data protection laws;
• Not use the Services to facilitate any fraudulent, illegal, or unauthorized transactions.

All intellectual property rights in the Services, including software, design, trademarks, logos, and content (excluding User Content), are owned by or licensed to TRISX Technologies Private Limited. Nothing in these Terms grants you any right or license to use our intellectual property except as necessary to use the Services as permitted. You retain ownership of the business data, documents, invoices, and other content you upload or create using the Services ("User Content"). You grant Subcidys a limited, non-exclusive license to host, process, transmit, and display User Content solely for the purpose of providing the Services to you, including for AI-powered features as described in our AI Usage & AI Disclaimer Policy.

The Services integrate with various third-party services, including banks, payment gateways, NBFCs, credit bureaus, GSTN, WhatsApp Business APIs, email providers, cloud infrastructure providers, and AI APIs. We are not responsible for the acts, omissions, availability, or terms of such third-party services. Your use of such integrations may be subject to the third party's own terms and privacy policies. We strive to maintain the availability and performance of the Services as described in our Service Level Agreement (SLA), where applicable to your subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Services, including beta features, with reasonable notice where practicable. Beta features are additionally governed by our Beta Features Disclaimer.

To the maximum extent permitted under applicable law, Subcidys and TRISX Technologies Private Limited, including their directors, officers, employees, and agents, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Services.

You agree to indemnify, defend, and hold harmless TRISX Technologies Private Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• (a) your use of the Services;
• (b) your violation of these Terms or applicable law;
• (c) your User Content; or
• (d) your violation of any third-party rights, including intellectual property or data protection rights.

We reserve the right to suspend or terminate your access to the Services, with or without notice, in accordance with our Account Suspension & Termination Policy, including in cases of breach of these Terms, suspected fraud, non-payment, or as required by law. You may terminate your account at any time in accordance with the cancellation process described in our Refund & Cancellation Policy.

Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, governmental action, pandemics, internet or telecommunications failures, or failures of third-party service providers, as further described in our Force Majeure Clause.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be sought to be resolved amicably, and failing such resolution, shall be referred to arbitration in accordance with our Arbitration Clause (India). The courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction over matters not subject to arbitration.

We may amend these Terms from time to time. Material changes will be communicated to you via the Services or email, with the "Last Updated" date revised accordingly. Continued use of the Services after such changes constitutes your acceptance of the amended Terms.
